    To manage potential equity impact, Realty Income intends to use proceeds to fund capped call transactions. The initial cap price for those capped calls is approximately $83.55 per share, or 35% above the Aug. 11 closing price—an upper limit intended to reduce the chances of significant dilution if the stock rises and conversion becomes more likely.

    While the company did not provide a guidance update tied directly to the financing, the structure of the transaction suggests management is pairing the issuance with shareholder-support actions. Realty Income expects net proceeds of approximately $859 million, increasing to about $981.9 million if the overallotment option is fully exercised. The notes are expected to settle on Aug. 14.

    Alongside the offering, Realty Income plans to repurchase shares concurrently with pricing. The company intends to allocate about $29.1 million of the proceeds to fund capped call transactions and about $188.7 million to repurchase roughly 3 million shares. The remainder of proceeds would be used for general corporate purposes, including debt repayment or repurchases, hedging activities, property development, redevelopment and acquisitions, business combinations, and portfolio improvements.
