    Nuvation Bio priced an upsized $250 million offering of 0.75% convertible senior notes due 2032, following an increase from the previously announced $200 million size. The company’s capital raise is expected to close on June 30, 2026, with net proceeds targeted for debt and transaction-related costs as well as general corporate needs.

    At the same time, Nuvation Bio arranged capped call transactions designed to reduce potential dilution to its Class A common stock if the notes are converted, and to help offset certain cash payments that may arise when the notes are settled.

    What drove the deal

    According to the company’s offering terms, Nuvation Bio sold $250 million aggregate principal amount of its 0.75% convertible senior notes due 2032, with an option for the underwriters to purchase an additional $37.5 million in principal amount. The aggregate principal amount was increased from $200 million, indicating demand sufficient to support a larger issuance.

    Net proceeds were estimated at approximately $241.2 million, or approximately $277.6 million if the underwriters’ overallotment option is exercised in full. The notes are expected to be general unsecured obligations of Nuvation Bio and will accrue interest at 0.75% per year, payable semiannually in arrears on January 1 and July 1 of each year, beginning January 1, 2027.

    The notes mature on July 1, 2032, unless earlier converted, redeemed, or repurchased. Nuvation Bio also outlined that it may not redeem the notes prior to July 6, 2029, and if redemption occurs after that date, it would be at 100% of principal plus accrued and unpaid interest, subject to a stock-price condition tied to its Class A shares.

    How the company plans to use the proceeds

    Nuvation Bio said it expects to apply the net proceeds to pay the costs of the capped call transactions. It also plans to use the proceeds to repay all obligations under its senior secured loan agreement in full, according to the company’s stated funding priorities.

    Beyond these transaction and debt-related purposes, management indicated the proceeds will also support general corporate needs, including working capital, operating expenses, capital expenditures, and general and administrative expenses.

    Conversion protection and redemption mechanics

    Concurrently with the pricing of the notes, Nuvation Bio entered into capped call transactions with an affiliate of one of the underwriters and additional financial institutions. The company said these instruments are generally expected to reduce potential dilution from Class A share conversion of the notes and/or to offset cash payments the company could be required to make in excess of the principal amount of the notes upon conversion.

    The capped call cap price was set initially at $10.4580, representing an 80% premium to the last reported sale price of Nuvation Bio’s Class A common stock on the New York Stock Exchange on June 25, 2026.

    Nuvation Bio also specified that the notes include potential investor repurchase rights in connection with certain “fundamental changes.” In those circumstances, holders could require the company to repurchase all or a portion of their notes for cash at a repurchase price equal to 100% of the principal amount plus accrued and unpaid interest.

    On redemption, Nuvation Bio noted that it may redeem the notes at the start of the permitted window if its Class A stock trades at or above 130% of the conversion price for at least 20 of the 30 consecutive trading days ending on the relevant observation date. If only part of the notes is redeemed, at least $75 million in principal must remain outstanding.

    Market reaction and what to watch next

    In the pricing context described, Nuvation Bio’s shares had recently traded sharply lower: the stock closed at $5.81 on Thursday, down 10.06%, and was indicated lower in the overnight market at $5.74, down 1.20%. The move appears tied to the company’s issuance and related financing structure, though the specific immediate driver for the equity decline was not attributed in the terms provided.

    Jefferies LLC, Citigroup and Cantor Fitzgerald & Co. are acting as joint bookrunning managers for the offering.

    Looking ahead, investors will likely focus on how the capped call structure affects conversion economics and on the timetable for closing the notes on June 30, 2026. The company’s next set of disclosures around liquidity needs, debt repayment impact, and operating updates may also influence how investors interpret the financing—particularly given the maturity profile and the stock-price conditions embedded in redemption terms.
